Step 1: Choose a structure for the business
When you decide to register a business in California, there are three options that are most popular for business entity structures in California: corporation, LLC, and DBA.
- DBA – DBA is short for “doing business as,” and can also refer to “trade name” or “fictitious business name.” These are used as operating names to simplify the legal name or make it different from other companies bearing similar names. DBAs are utilized to handle multiple companies under a single corporation or LLC. As an example, California Sunshine LLC might register a DBA like California Nail Spa for a manicure business and California Threads for an eyebrow threading business, without needing to create two distinct corporations or LLCs.
- Corporation – Known as ‘Corp’ for short, this is a separate entity that offers its owners liability protection. This type of entity includes directors, shareholders, and officers. A corporation is more complicated than a simple DBA, but it is the perfect business structure for companies that are profit-driven. Certain professions need to register a business as a so-called professional corporation, or PC. These professions include lawyers, doctors, and architects.
- LLC – LLC stands for “Limited Liability Company.” It is an independent entity that offers liability protection to its owners. Additionally, an LLC is generally simpler to oversee and incurs fewer taxes compared to a corporation. Due to these advantages, the LLC structure has become the most favored choice to register a business over both corporation and DBA business structures.

Step 2: Picking the name of your business
Choosing a name for your business sounds simple, but many business and legal problems can come from choosing the wrong name period of course, you may always alter the name at a later time, but the less you have to do that the better. Step three will illustrate how you can search for a business name in California. However, it is recommended that you take the following steps prior to looking through state databases.
- Ensure that you have gone over the basics: unique names that are easy to pronounce and understand are good choices. You should try saying the name out loud to test it. Also, you will want to pick a name that can survive over time. For instance, it may not be a good idea to have DVD in the business name.
- Look online for your ideal name. Search DuckDuckGo, Bing, and Google as a first step to check for any possible conflicts, especially in your local jurisdiction or California at large. If you plan to operate throughout the country or internationally, it is even more critical that you have a unique name. This should include situations where the name of a company is being used but is not trademarked officially.
- Perform a trademark search using the USPTO, or US Patent and Trademark Office. This search will be a good indicator if the name you have picked has any conflicts. There is skill involved in trademark searches, which is why there are specialists who will charge you a large sum to do a thorough check. However, if you are able to Google at a fairly advanced level, you should be able to check a name on your own. As a tip, be sure to search for plurals, misspellings, variations of spellings, and other versions of your selected name to ensure that it is not registered already.
- Ensure that your name selection is available by looking on the business entity database supplied by California’s Secretary of State. Again, you should search spelling variations, misspellings, and plurals, since California might reject a name that is too alike. This would force you to start from scratch, which wastes important time.
Business name restrictions in California
When you register a business in California, your business name needs to follow certain restrictions:
- The name of the company needs to have the relevant corporate identifier. For example, corporations need to have incorporated, corporation, or an abbreviation in the name.
- The name cannot have the word trust, bank, trustee, and cannot include the words insurance company, insurer, or any other word that indicates the business issues insurance policies or assumes insurance risks.

Step 3: Register a business in California
To start a business in California you must register your business as an entity or DBA. Now that you have picked a structure for your business and selected a name, take a look at the requirements to register a business in the state of California.
Forming a California LLC
- Submit articles of organization to the LLC division of the California Secretary of State.
- After you have filed the articles and they are approved, you will have to correctly organize the LLC by staging an organizational meeting. This will take contributions from any members, issue member certificates, and adopt the business’ operating agreement.
Incorporating in California
- Submit articles of incorporation to the corporation division of the California Secretary of State.
- Have an organizational meeting to assign the ownership percentage to each shareholder as well as take care of tasks such as opening a bank account for the company, paying back pre-incorporation expenses, and selecting the status of an S Corp.
- A corporation may choose S Corp status by filing Form 2553 with the IRS.
It should be noted that when you register a business with the California Secretary of State, it can take several weeks to have the paperwork approved. The process can be expedited by delivering the documents by hand to the office and paying an additional fee. In general, California is one of the slower states.
Filing a California DBA
When you register a business in California and want to file for a DBA, you do so with the county. You will have to contact your local county recorder to learn what specific forms must be submitted as well as what the process is. You can locate the county recorder’s office by looking up ‘my county recorder.’
- You will have to get a hold of and file the proper forms with the county in order to register the DBA. It should be noted that some counties allow you to search the name and register online. Other counties will want the form to be notarized.

- You will need to publish a notice in a newspaper that has been approved. To learn which newspapers are approved, you can ask the county. The notice must be published once a week for four weeks in a row. After the 4th publication, the newspaper will send you a proof of publication. This will be in the form of a signed affidavit that indicates the publication dates in their newspaper.
- You will need to file proof of publication with the county clerk’s office no later than 30 days after the final publication. It should be noted that certain newspapers will perform this service for you, but filing the proof remains your duty.
Step 4: Get a federal EIN
Your business also needs apply for an EIN to open a bank account and hire employees. An EIN is like your company’s Social Security number. When you register a business in the form of an LLC or corporation, an EIN is required. It is optional for DBAs unless the company has employees. If you register a business as a DBA and do not get an EIN, you will need to use your personal Social Security Number on a lot of documents. Therefore, to prevent identity theft, it is recommended you get an EIN.
To get an EIN, you can fill out Form SS-4 for the IRS or apply online.
Step 5: Open business credit and bank accounts
When you register a business in California, you will need to keep personal and business finances apart by opening business credit and bank accounts. LLCs and corporations must have these separate accounts, but this is a positive, as they enable your company to get lines of credit and favorable loans. You can call your bank of preference and ask about opening a bank account for your business. In general, you will need these documents handy:
- EIN
- Filed paperwork
- Company resolution signed by the members, owners, directors, officers, etc. that authorizes the business to open an account.
Step 6: Create a system for accounting
When you register a business in California, you should create an accounting and record-keeping system and learn about the taxes that your business will need to pay. In general, a company needs to preserve its documents for three years, which includes a list of all addresses and owners, copies of financial statements, formation documents, amendments, annual reports, and any changes to the company. All corporate and tax filings must be kept for a minimum of three years.
Step 7: Get permits and licenses
Once you register a business name in California, you will need to get a business license for the company. This license allows your business to operate in the county or city. Usually, this will also involve registering for state permits and taxes. It is possible the city will require these as part of the process of licensing.

Step 8: Hire workers (if needed)
When you register your business in California, if you plan to hire other people as full or part-time employees, you will have to register the business with the relevant state agencies and get unemployment insurance or workers compensation insurance, or both.

Step 10: Systemize and organize
When you register a business in California, you should prepare the company as if you intend for someone to take over and run it in your place. Thus, you should have a way of processing orders, paying bills, paying employees, paying taxes, maintaining permits, and more. Essentially, you should try to automate every operational part of your business and make it as efficient as possible. This way, you can focus on growing the business.
Step 11: Marketing and branding
After you register a business in California, the time has come to spread the word. You should now create marketing plan for your services and products that targets the ideal customer.
Step 12: Ongoing and annual requirements
After you register a business in California, there are certain things you must continue to do each year. A fictitious business name (DBA) will be valid for five years unless a business owner changes the name of the company. After five years elapses, you will need to renew it with the county.
Companies in California are mandated to file an Initial Statement of Formation no later than ninety days after filing an LLC’s articles of organization. Also, a Biennial Statements of Information must be filed with the California Secretary of State every two years. This must be done at the conclusion of the business’ anniversary month. In addition to basic taxes, California also asks for a fee of $800, which will go to the Franchise Tax Board every year. However, businesses in their first year of operation are exempt from this. A business may also need to renew permits now and again, though this will depend on the nature of the business.
A corporation in California is required to maintain corporate records at the primary business location. Every two years, on the anniversary of the business’ formation, a corporate officer must file an annual report. Corporations and LLCs will pay a fee of $300 for filing.
